This module explores your role in the day to day running of the Board and its Committees, and provides the opportunity to explore the sensitivities and risk management issues involved. It will explore the administrative details of meetings and the importance of maintaining records and registers. The module also explores how to engage and work with staff colleagues and voluntary Board/Committee Members.
By the end of this session you will be able to:
- summarise key issues of accountability and transparency
- identify risks – reputational, financial, operational and consider strategies for managing them
- recognise your role in providing advice and making arrangements for
- Board and Committee meetings and behind the scenes
- the AGM, and issuing notices
- Elections for Chair, the use of proxies
- Other Special General Meetings
- Appointment of external auditors
- General meetings
- Issue of agendas and documents, techniques for minute taking
- Awaydays
- Identify issues of conflict of interest and how they might be managed
- Record declarations of interest, payments and benefits, gifts and hospitality, fraud, disposals, etc.
- Describe the importance of signing and sealing documents, and keeping the signing register up to date
- Explain the relevance of Insurance for Board members
- Improve your management of the working relationships with:
- Chair, committee Chairs, Chief Executive, Board members (especially residents and LA representatives)
- Boards, Committees, co-regulatory/scrutiny groups, senior staff, other staff
- The regulator
- External stakeholders (such as local authorities) & partners including auditors
